These Terms of Use apply to purchases and use of the Apexx Rize, Apexx Silver, Apexx Gold and White Label services offered by Apexx Music Distribution (Pty) Ltd.

By purchasing, accessing or using any Apexx Music subscription, distribution service, platform or related service, you agree to be legally bound by these Terms of Use, together with the Apexx Music Terms of Use, Privacy Policy and any additional terms applicable to a particular service.

1. INTRODUCTION

Thank you for choosing Apexx Music (“Apexx”, “we”, “us”, or “our”). Apexx Music Distribution (Pty) Ltd is a company based in South Africa providing music distribution, digital music services, royalty-related services, promotional tools and other services to artists, labels, businesses and music-industry professionals.

These Subscription and Services Terms of Use (“Subscription Terms”) govern your purchase of, access to and use of the Apexx Rize, Apexx Silver, Apexx Gold and White Label services, whether purchased directly from Apexx Music, through the Apexx Music website, through an approved payment platform, or otherwise made available to you.

Your agreement with Apexx consists of: (1) these Subscription Terms of Use; (2) the general Apexx Music Terms of Use; (3) the Apexx Music Privacy Policy; (4) any applicable distribution, royalty, content, platform or White Label agreements; (5) any additional terms displayed at the time of purchase; and (6) any amendments or updates to these documents made from time to time. Collectively, these documents are referred to as the “Agreements”.

By purchasing or using an Apexx Music service, you confirm that you have read, understood and agreed to the Agreements. If you do not agree to the Agreements, you must not purchase, access or use the applicable Apexx Music service. All capitalised terms not specifically defined in these Subscription Terms have the meanings given to them in the general Apexx Music Terms of Use.

2. SUBSCRIPTIONS AND SERVICES
2.1 General

Access — When you purchase an Apexx Music subscription or service, access will generally be made available to you after Apexx has successfully received and verified your payment.

The specific services, features, artist limits, delivery timelines, distribution options and other benefits available to you will depend on the plan purchased and the information presented by Apexx at the time of purchase. Apexx may make certain services available through its website, online platform, mobile applications, third-party payment providers or other approved channels. Availability may vary depending on the service, geographical location, technical requirements and third-party platform requirements.

Subscription Period — Where a subscription is offered on a monthly or annual basis, the subscription will remain active for the applicable period purchased. Unless otherwise stated at the time of purchase, subscriptions may automatically renew where automatic renewal is enabled. The applicable renewal price will be the price communicated to you before the renewal, subject to any applicable price changes.

Managing Your Subscription — You may manage or cancel your subscription through the method or platform through which you purchased it, where such functionality is available. Cancellation of a subscription does not automatically create a right to a refund. Unless otherwise required by applicable law, cancellation will normally prevent the next renewal but will not necessarily terminate access immediately for a period that has already been paid for.

Changes to Services — Apexx continually develops and improves its services. Accordingly, Apexx reserves the right to modify, improve, suspend, replace or discontinue individual features, services, distribution options or functionalities where reasonably necessary for operational, technical, commercial, legal or third-party reasons. Where a material change substantially affects a service already purchased and applicable law requires notice, Apexx will provide appropriate notice.

2.2 APEXX RIZE, APEXX SILVER AND APEXX GOLD — FEATURES

The features available under each plan are determined by the plan selected at the time of purchase. The current Apexx Music website presents the plans generally as follows:

The number of artist profiles, distribution destinations, features and other benefits may be changed for future purchases or renewal periods. Any feature requiring approval by a third-party platform is subject to that platform's own policies and discretion. Apexx cannot guarantee approval by Spotify, YouTube or any other third-party service.

2.3 ARTIST PROFILES

Where an Apexx subscription includes multiple artist profiles, the number of profiles available is determined by the plan purchased. You are responsible for ensuring that: (1) you have the necessary authority to manage each artist profile; (2) all information supplied about an artist is accurate; (3) you have obtained all required permissions and rights; (4) each artist profile is used lawfully; and (5) all content distributed through the profile complies with the Agreements and applicable third-party platform policies. If you downgrade to a plan providing fewer artist profiles, you may be required to select which artist profiles will remain active. Apexx may restrict, suspend or remove an artist profile where it reasonably believes that the profile violates the Agreements, applicable law, intellectual-property rights or third-party platform requirements.

2.4 MUSIC DISTRIBUTION AND RELEASE DELIVERY

Apexx provides digital music distribution services to available digital service providers (“DSPs”) and other Stores. Release delivery is subject to: complete and accurate metadata; properly formatted audio files; valid artwork; ownership and licensing information; copyright and intellectual-property requirements; successful internal review where applicable; DSP requirements; technical requirements; and any other information reasonably required by Apexx. Advertised release timelines are estimates and are not absolute guarantees. Although Apexx may aim to deliver releases within the timeframe associated with a particular subscription, final publication and availability are controlled by the applicable DSP or Store. Apexx will not be responsible for delays caused by: incomplete metadata; incorrect metadata; copyright disputes; artwork or audio problems; missing information; technical issues; third-party DSPs; Store processing times; public holidays or operational interruptions; regulatory requirements; or circumstances outside Apexx's reasonable control. Apexx may refuse or delay a release where it reasonably believes that the release may violate the Agreements, applicable law, copyright or the policies of a Store.

2.5 STORES AND DIGITAL PLATFORMS

Apexx may distribute Recordings and Materials to digital music platforms and Stores available through its distribution network. Apexx does not guarantee that every Recording will be accepted by every Store. Apexx may add, remove, suspend or change available Stores from time to time. Third-party Stores may independently: reject content; remove content; suspend accounts; change their policies; delay publication; change reporting schedules; change payout procedures; or take other actions affecting your content. Apexx is not responsible for decisions made independently by third-party Stores. Any Store-specific benefits, including verification services, artist channels or platform badges, are subject to the applicable Store's policies and approval.

2.6 ROYALTY SPLITS

Where royalty splitting is available, an Apexx user may allocate a percentage of applicable royalties to another eligible participant. The Recording owner is responsible for ensuring that: all participants are correctly identified; percentages are accurate; the participants have agreed to the applicable split; and the split information does not violate any agreement or law. Apexx may reject, delay, amend or reverse a royalty split where the split contains incorrect information, creates technical problems, conflicts with applicable law or creates a reasonable risk of fraud or dispute. Royalty payments remain subject to applicable Store reporting, payment schedules, deductions, commissions and the Agreements.

2.7 ROYALTY COLLECTION

Where included or separately provided, Apexx may assist with the collection and administration of royalties generated from digital platforms and applicable music-rights organisations. Apexx may provide or facilitate royalty-related services involving organisations and platforms such as SAMPRA, SAMRO, CAPASSO, RISA and other relevant organisations or platforms where available. Collection is dependent on the relevant organisation, registration requirements, repertoire information, reporting systems, applicable rights and payment schedules. Apexx does not guarantee that a particular organisation will accept a registration, recognise a work, generate royalties or make a payment.

2.8 YOUTUBE CONTENT ID

Where YouTube Content ID is offered, eligibility is subject to YouTube's requirements and approval. Apexx does not guarantee acceptance into YouTube Content ID. YouTube may reject, remove or otherwise restrict content according to its own policies. Any commission applicable to YouTube Content ID revenue will be communicated in the applicable Apexx service terms or account information.

2.9 SUPPORT

Apexx provides customer and technical support according to the service purchased. Support may include assistance with: distribution; metadata; releases; account-related issues; royalties; platform-related questions; and technical issues. Support response times are not necessarily guaranteed unless a specific service expressly states otherwise. Apexx may prioritise support according to subscription level, urgency, account status and operational availability.

2.10 PROMOTIONAL AND MARKETING SERVICES

Apexx may offer promotional, marketing, advertising, campaign or other artist-growth services. Such services may include advertising tools, promotional campaigns, social-media support, landing pages, release links, pre-save links or other marketing features. Apexx does not guarantee a particular number of: streams; followers; listeners; saves; views; playlist placements; sales; engagements; or other promotional results. Any third-party advertising platform used in connection with an Apexx promotional service may impose its own terms, policies and charges.

2.11 WHITE LABEL / OWN PLATFORM

Apexx may provide a White Label or “Own Your Platform” service that enables an eligible business or organisation to operate a branded music distribution platform using technology and distribution infrastructure provided by Apexx. The current Apexx website describes the White Label offering as including features such as: a branded platform; dashboard; administrator dashboard; administrator accounts; distribution to available DSPs; YouTube Content ID; requests for YouTube Official Artist Channels for clients; monthly royalty payouts; user accounts; technical support and updates; licence configuration; and bulk catalogue import. The precise White Label features, setup requirements, fees, licensing arrangements, API access, technical specifications and responsibilities shall be governed by the applicable Apexx Music White Label Agreement. The White Label service is not automatically included in Rize, Silver or Gold subscriptions. Apexx may require successful technical onboarding, verification, payment and execution of a separate agreement before the White Label platform becomes operational.

3. ADD-ON SERVICES

Apexx may offer additional services that can be purchased separately from a subscription (“Add-On Services”). Add-On Services may include, without limitation: additional distribution services; Store Sync; music video distribution; promotional services; marketing services; additional artist profiles; catalogue services; technical services; or other services made available by Apexx. The availability, price and terms of each Add-On Service will be communicated at the time of purchase. An Add-On Service may be dependent on the user maintaining an active Apexx subscription. Apexx reserves the right to modify, suspend or discontinue Add-On Services.

4. GENERAL
4.1 PAYMENT

Payment must be successfully received by Apexx or its authorised payment provider before the applicable service is activated. You agree to provide accurate billing and payment information. Apexx may use third-party payment providers to process payments. Your use of such payment services may also be subject to the applicable third-party payment provider's terms. Where a payment fails, Apexx may suspend access to the applicable service until payment has been successfully completed. Apexx reserves the right to take reasonable steps to prevent fraudulent payments and may suspend or terminate accounts where payment fraud is reasonably suspected.

4.2 PRICING

Current pricing is displayed through Apexx Music's website, store or applicable purchase interface. At the time of publication, the Apexx website displays prices for certain services, including approximately: Apexx Rize — R299.99; Apexx Silver — R699.99; Apexx Gold — R1,499.99; White Label / Own Your Platform — R50,000. Prices may change from time to time. The price applicable to a purchase is the price displayed to the customer at the time the purchase is completed. Taxes, payment-provider charges or other legally applicable charges may apply where applicable.

4.3 TERM

These Subscription Terms commence on the earlier of: a) the date payment is successfully received; or b) the date you first access or use the applicable Apexx service. The Terms remain effective until the applicable subscription or service expires, is cancelled or is terminated in accordance with the Agreements. Apexx may suspend or terminate access where: payment is fraudulent or unlawfully obtained; the user breaches the Agreements; the user uploads infringing or unlawful content; the user engages in fraudulent or manipulated activity; the user violates DSP or Store requirements; the user provides materially false information; or termination is otherwise permitted under the Agreements or applicable law.

4.4 TERMINATION

You may cancel your subscription in accordance with the applicable cancellation procedure. Upon expiration or termination, Apexx may: disable the ability to submit new releases; restrict account functionality; remove or suspend Recordings from Stores where permitted under the applicable agreements; revoke access to subscription features; suspend Add-On Services; and apply any applicable post-termination commissions or service charges. Termination does not release either party from obligations that accrued before termination. Where content remains subject to third-party Store processes, removal may not occur immediately. Apexx may suspend or terminate an account immediately where necessary to protect Apexx, its users, third parties, DSPs or the integrity of the distribution network.

4.5 REFUNDS

Full-Price Purchases — Where a service has been purchased at its full advertised price, and where a refund is legally available under applicable law or expressly permitted by these Terms, Apexx may process the applicable refund in accordance with its refund procedure. Where a refund is approved, Apexx will generally return the eligible amount through the original payment method or another reasonable payment method determined by Apexx.

Discounted, Promotional and Coupon Purchases — ALL SUBSCRIPTIONS, SERVICES AND ADD-ON SERVICES PURCHASED AT A DISCOUNTED, PROMOTIONAL OR REDUCED PRICE ARE NON-REFUNDABLE, EXCEPT WHERE A REFUND IS REQUIRED BY APPLICABLE LAW. For purposes of this section, a discounted purchase includes, without limitation: coupon codes; promotional codes; affiliate discount codes; percentage discounts; fixed-amount discounts; special offers; launch promotions; Black Friday or other promotional campaigns; referral discounts; bundle discounts; loyalty discounts; negotiated discounts; and any other purchase made for less than the standard advertised price. For the avoidance of doubt, where a customer purchases an Apexx subscription using a discount code, the discounted transaction is not eligible for a discretionary refund. The customer may not cancel a discounted purchase and request a refund based solely on dissatisfaction with the service, change of mind, failure to use the service or failure to release music. Nothing in these Terms is intended to exclude, restrict or waive any consumer right or statutory right that cannot lawfully be excluded or waived under applicable South African law.

Services Already Provided — Where a refund is legally available or otherwise approved by Apexx, Apexx may take into account services already performed, releases already processed, distribution already initiated, third-party costs already incurred and other services already supplied. Apexx may deduct reasonable amounts relating to services already provided where permitted by applicable law.

Third-Party Platform Decisions — Apexx is not responsible for refunding a customer merely because a third-party platform, DSP, Store or rights organisation rejects, delays, removes or restricts content, except where Apexx is otherwise legally required to provide a refund.

White Label Services — White Label purchases may be subject to separate commercial terms and a separate White Label Agreement. Because White Label services may involve platform setup, configuration, technical work, licensing, onboarding and other services performed specifically for the customer, refunds for White Label purchases will be governed primarily by the applicable White Label Agreement and applicable law.

4.6 LIMITATION OF LIABILITY AND WARRANTIES

To the maximum extent permitted by applicable law, the Apexx Music services are provided on an “as available” basis. Apexx does not guarantee that: the service will always be uninterrupted; every release will be accepted by every Store; every Store will remain available; a particular release date will be achieved; a particular number of streams or listeners will be generated; a particular amount of royalties will be generated; third-party platforms will remain operational; third-party platforms will maintain their current policies; or particular promotional or commercial results will be achieved. Apexx will use reasonable efforts to provide its services professionally and maintain the functionality of its platform. Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

4.7 CHANGES TO THE AGREEMENTS

Apexx may update these Terms from time to time to reflect: changes in its services; changes in technology; changes in third-party platform requirements; changes in applicable law; changes in business operations; or other legitimate commercial or operational requirements. Where appropriate, Apexx may notify users of material changes through the website, account, email or another reasonable communication method. The updated Terms will apply from the effective date stated in the updated version, subject to applicable law.

4.8 CHANGES TO THE SERVICE

Apexx may modify, improve, suspend or discontinue parts of its services. This may include changes to: supported Stores; distribution destinations; subscription features; artist limits; delivery processes; promotional tools; technical infrastructure; payment systems; or other service functionality. Where a change materially affects a service already purchased, Apexx will take reasonable steps to address the change in accordance with applicable law and the Agreements.

5. USER RESPONSIBILITIES

You are responsible for ensuring that all content submitted to Apexx is lawful and that you possess all necessary rights, licences, permissions and consents. You must not use Apexx services to distribute or promote: unauthorised copyrighted material; stolen recordings; fraudulent content; manipulated streams; artificial engagement; impersonation; unlawful content; content that infringes another person's intellectual-property rights; or any material prohibited by applicable DSPs or the Agreements. You are responsible for the accuracy of all metadata, artist information, ownership information, songwriter information, producer information, copyright information, ISRCs, UPCs and other information submitted to Apexx. Apexx may request documentation demonstrating ownership or authority over content before distributing or continuing to distribute it.

6. THIRD-PARTY SERVICES

Apexx integrates with and relies upon third-party platforms, DSPs, payment providers, rights organisations and technology providers. These third parties operate independently and may change their services, policies, fees, technical requirements or availability. Apexx is not responsible for changes made independently by third parties, except to the extent required by applicable law. Your use of a third-party service may also be governed by that third party's terms and privacy policies.

ACKNOWLEDGEMENT

By purchasing or using an Apexx Music subscription or service, you acknowledge that: (1) you have read these Terms of Use; (2) you understand the services and limitations applicable to your selected plan; (3) you agree to comply with the Agreements; (4) you understand that third-party Stores and DSPs control their own platforms and policies; (5) you understand that discounted and promotional purchases are subject to the refund restrictions in Section 4.5; and (6) you accept responsibility for ensuring that the content you submit to Apexx is lawful and properly authorised.
